BY CLICKING THE ACCEPTANCE BUTTON, CREATING AN ACCOUNT, PURCHASING A SESSION OR SUBSCRIPTION, OR OTHERWISE USING THE BAYES.AI APPLICATION AND RELATED SERVICES PROVIDED BY BAYRIS, INC. (COLLECTIVELY, THE "SERVICES"), THE INDIVIDUAL OR ENTITY USING THE SERVICES ("USER" OR "YOU") CONSENTS TO BE BOUND BY, AND BECOMES A PARTY TO, THESE TERMS OF SERVICE ("AGREEMENT"). IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST NOT USE THE SERVICES. YOU MUST ACCEPT THIS AGREEMENT AS PRESENTED; CHANGES, ADDITIONS, OR DELETIONS TO ITS TERMS ARE NOT ACCEPTABLE, AND BAYRIS MAY REFUSE OR REVOKE ACCESS TO THE SERVICES FOR NONCOMPLIANCE WITH ANY PART OF THIS AGREEMENT.
BAYRIS, INC. MAY ADD OR REMOVE FEATURES, POLICIES, OR RULES, OR AMEND OR UPDATE THIS AGREEMENT AT ANY TIME, WITHOUT PRIOR NOTIFICATION, AT ITS SOLE DISCRETION. YOUR CONTINUED USE OF THE SERVICES FOLLOWING ANY SUCH REVISIONS CONSTITUTES ACCEPTANCE OF SUCH CHANGES.
SECTIONS 13 (WARRANTIES AND DISCLAIMERS), 14 (INDEMNIFICATION), 15 (LIMITATION OF LIABILITY), AND 17 (GOVERNING LAW; DISPUTE RESOLUTION; CLASS ACTION WAIVER) CONTAIN IMPORTANT LIMITATIONS ON BAYRIS'S LIABILITY, REQUIRE YOU TO INDEMNIFY BAYRIS, AND REQUIRE INDIVIDUAL ARBITRATION OF DISPUTES AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS. PLEASE READ THEM CAREFULLY.
This Agreement sets forth the terms and conditions for use of the Bayes.ai web application located at www.bayes.ai (the "Site") and all related services, owned and operated by Bayris, Inc. ("Bayris," "we," "us," or "our"). This Agreement incorporates the provisions stated in the Privacy Policy and any accompanying documentation. Together, these documents constitute the complete agreement between you and Bayris regarding your use of the Services.
Bayris grants you a nonexclusive and nontransferable license to access and use the Services. Use of the Services is by license, and not by sale, and is granted only under the terms of this Agreement. Bayris reserves all rights not expressly granted herein. This Agreement does not entitle you to individualized support, although support services, updates, and documentation may be made available through the Site from time to time.
The Bayes.ai application, developed and operated by Bayris, is a project planning tool that combines constraint solving with Monte Carlo simulation to produce probabilistic project schedules. The Services include a visual plan editor, a proprietary constraint solver and scheduler, schedule and probability distribution generation, and optional AI-powered plan generation using third-party language models. Bayris may change the language model providers used to deliver AI features at any time without notice.
The Services are provided as a planning tool and should be used as part of a larger decision-making process. The solver, scheduler, and AI-generated outputs are computational suggestions based on the inputs you provide. They are not designed or intended to constitute professional advice, and Bayris expressly disclaims any warranty of fitness for such use. You are solely responsible for reviewing, validating, and verifying all outputs before relying on them for real-world project decisions, resource allocation, budgeting, or any other purpose.
Users may share project schedules with third parties via tokenized links. Free-tier users may create read-only snapshot links that expire after seven (7) days. Pro subscribers may create live-updating share links that expire after thirty (30) days and may include up to one hundred (100) email recipients. Bayris reserves the right to revoke share links at any time without notice.
Bayris may modify, suspend, add to, or discontinue any part or feature of the Services, temporarily or permanently, at any time and without notice or liability to you. Bayris is under no obligation to provide updates, enhancements, or continued availability of any feature. You agree that Bayris will not be liable to you or to any third party for any modification, price change, suspension, or discontinuation of the Services or of any feature thereof.
The Services are intended solely for users who are at least eighteen (18) years of age, or the age of legal majority in their jurisdiction if greater, and who can form a legally binding contract. By using the Services, you represent and warrant that: (i) you meet these requirements; (ii) you are not located in, under the control of, or a national or resident of any country subject to a comprehensive embargo by the United States, and you are not identified on any U.S. government list of prohibited or restricted parties; and (iii) your use of the Services does not violate any applicable law or regulation. If you use the Services on behalf of a company or other entity, you represent and warrant that you are authorized to bind that entity to this Agreement, in which case "you" refers to both you and that entity.
The Services are offered in two tiers. The Free Tier provides access to the plan editor, constraint solver, and scheduler, subject to entity and task limits. The Free Tier also includes a limited number of AI-powered chat prompts. The Subscription tier (Pro) is available on a monthly basis for fifteen dollars ($15.00) per month, or on an annual basis for one hundred fifty dollars ($150.00) per year, and includes AI-powered chat and plan generation, unrestricted plan size, Monte Carlo risk analysis, scenario comparison, live-updating shared schedules, cloud backup and sync, and access across multiple devices.
Free-tier users receive up to fifty (50) AI prompts per month processed through a language model. Pro and Team user accounts receive up to one thousand (1000) AI prompts per billing month. Prompt counts reset at the beginning of each billing cycle. Bayris reserves the right to adjust prompt thresholds and the language models used to deliver AI features at any time.
All payments are processed by Paddle.com Market Ltd. Bayris does not collect, process, or store your payment card information. Credit card information is handled solely by Paddle in accordance with Paddle's PCI-DSS compliance obligations and privacy practices.
Subscription fees are billed on a recurring basis, either monthly or annually depending on the plan selected, and will automatically renew until cancelled. You may cancel your subscription at any time through the Paddle customer portal, or by disabling the auto-renew feature through the user-account menu. Cancellation takes effect at the end of the current billing period (month or year, as applicable), and you will continue to have access to subscription features until that date. Bayris will not issue prorated refunds for partial subscription periods.
Payments for the Services are processed by Paddle.com Market Ltd. ("Paddle") as Merchant of Record, so your purchase is also subject to Paddle's Buyer Terms. Where those terms grant you greater rights than this policy, those terms apply.
You may request a full refund within 14 days of signing up by emailing connect@bayris.com or through the Paddle customer portal.
Cancellation. You may cancel a subscription at any time (see Section 5.4). Cancellation takes effect at the end of the current billing period; you retain access until that date and are not charged again. Except where required by law or the 14-day refund above, Bayris does not issue prorated refunds for partial subscription periods.
Failed delivery. If we are unable to deliver the Services you purchased because of a technical fault on our side, you are entitled to a fix, a replacement, or a refund of the affected amount. Approved refunds are issued by Paddle to your original payment method, together with any applicable sales tax or VAT.
By using the Services, you allow Bayris the use, collection, and analysis of data generated through your use of the Services for the purposes described in the Privacy Policy, including internal analytics, service improvement, and abuse prevention. The technical processing and transmission of your data is necessary to access and use the Services.
You expressly acknowledge that the use of the Services involves transmission of data over the Internet and various networks, only part of which may be owned, operated, or controlled by Bayris. You acknowledge and understand that data transmitted across the Internet may be subject to unauthorized access by third parties. Bayris is not responsible for any data that is delayed, lost, altered, intercepted, or stored during transmission across networks not owned, operated, or controlled by Bayris, including but not limited to the Internet, third-party services, and your local network. You agree that Bayris is not responsible for disruptions caused by security breaches, Internet outages, or third-party service failures, and you waive any and all claims against Bayris in connection with such disruptions.
To access certain features, you may be required to register and to provide information such as a valid email address ("User Data"). You agree to provide accurate, current, and complete User Data, and to maintain and update it as necessary to keep it accurate, current, and complete. You confirm that any User Data you have already provided to Bayris is accurate, current, and complete. Bayris may suspend or terminate your access if any User Data you provide is, or Bayris reasonably suspects it to be, inaccurate, outdated, or incomplete.
If you purchase a paid session or subscription, Bayris will issue an authentication token to enable access to the Services. You are solely responsible for maintaining the confidentiality and security of your account and credentials. You may not reveal your credentials to anyone else, allow anyone else to use your account, or use anyone else's account. You are entirely responsible for all activity occurring under your account, and you agree to promptly notify Bayris of any unauthorized use of your account or any other breach of security by contacting connect@bayris.com. Bayris shall not be responsible or liable for any loss or damage arising out of your failure to safeguard your credentials or out of any unauthorized or otherwise improper use of your account.
Use of the Services requires compatible hardware, Internet access, and a supported, up-to-date web browser, and may require you to obtain updates from time to time. Because use of the Services depends on these factors, your ability to use the Services may be affected by their performance; a reliable, high-speed Internet connection is recommended. You are solely responsible for meeting these requirements and for any costs associated with them, which may change from time to time.
You are responsible for your use of the Services and agree to refrain from: (i) using the Services for any unlawful or tortious purpose; (ii) licensing, sublicensing, selling, reselling, renting, leasing, transferring, assigning, distributing, or otherwise making the Services available to third parties; (iii) using the Services to transmit or process unlawful, infringing, obscene, threatening, offensive, or harmful content; (iv) uploading or transmitting any viruses, Trojan horses, worms, or other malicious code intended to damage, intercept, or expropriate any systems, data, or property; (v) interfering with or disrupting the integrity or performance of the Services or their underlying infrastructure; (vi) attempting to gain unauthorized access to the Services or their related systems or networks; (vii) using security testing tools to probe, scan, or penetrate the security of the Services without prior written authorization; (viii) employing data mining, robots, scrapers, or similar automated data-gathering methods; (ix) accessing the Services for the purpose of building a similar or competitive product; or (x) attempting to discover any source code or modifying the Services by reverse engineering, decompiling, disassembling, or creating derivative works.
The Services allow you to create, upload, input, store, share, and transmit project plans, schedules, text, images, file attachments, and other content (collectively, "User Content"). You are solely responsible for your User Content and for the consequences of creating, uploading, sharing, or transmitting it, including any sharing with the recipients you designate.
You represent and warrant that, with respect to all User Content: (i) you own the User Content or have obtained all rights, licenses, consents, and permissions necessary to use it and to grant the rights granted in this Agreement, including, without limitation, any rights of publicity or privacy of any person depicted and any copyrights, trademarks, or other intellectual property rights of photographers, artists, or other third parties; (ii) the User Content, and Bayris's use of it as permitted by this Agreement, does not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights, or any applicable law or regulation; (iii) you are responsible for all royalties, fees, and other sums (if any) payable in connection with the User Content; and (iv) the User Content is not unlawful, defamatory, obscene, harassing, or otherwise objectionable.
You grant Bayris a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transmit, and display your User Content solely to the extent necessary to operate, provide, secure, and improve the Services, including delivering shared schedules to the recipients you designate. This license ends when you delete your User Content or terminate your account, except (a) to the extent recipients of content you have shared retain copies, and (b) for retention required to comply with law or completed in the ordinary course of routine backup cycles. Except for this limited license, Bayris does not claim ownership of your User Content, consistent with Section 9.2.
Bayris may, but is not obligated to, review, screen, or monitor User Content. Bayris may remove, disable access to, or refuse to host any User Content at its sole discretion, including content that violates this Agreement or that Bayris believes may create liability for Bayris, without notice and without liability to you.
Bayris holds title to the Services and all associated documentation and intellectual property, which is protected by copyright, trade secret, and other intellectual property laws and by international treaties. All right, title, and interest in the Services, including any updates, adaptations, translations, customizations, or derivative works, and all intellectual property rights therein, shall remain with Bayris. The Services are licensed on a subscription or session basis and are not "sold" to you. You acknowledge these rights and agree not to take any action to jeopardize, limit, or interfere with Bayris's intellectual property in any manner. No portion of the Services may be reproduced in any form or by any means except as expressly permitted by this Agreement.
You retain all ownership rights to the project plans, data, and content that you create using the Services. Bayris does not claim intellectual property rights over your content. Your rights are reserved in any data, information, records, and files that you load or transmit to the Services, subject to the limited license you grant Bayris under Section 8.3 to process such data for the purpose of providing the Services.
Bayris, Bayes.ai, the Bayes.ai logo, and other Bayris names, marks, and logos used in connection with the Services are trademarks or registered trademarks of Bayris, Inc. in the United States and/or other countries. You are granted no right or license with respect to any Bayris trademark, and you agree not to use, copy, display, or register any Bayris trademark, or any confusingly similar mark, without Bayris's prior written consent.
If you provide Bayris with suggestions, ideas, enhancement requests, or other feedback regarding the Services ("Feedback"), you grant Bayris a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, and otherwise exploit the Feedback for any purpose without restriction or compensation to you.
Bayris bears no responsibility for maintaining the confidentiality of information entered into project plans, charts, or other content created by you through the Services, even if such information is designated as "private," "unpublished," or "confidential." You are strictly and solely responsible for compliance with all relevant trade secret agreements, non-disclosure agreements, proprietary business agreements and procedures, and applicable laws concerning the information you submit, post, or display through the Services.
In the course of your use of the Services, you may be exposed to information of Bayris that is non-public and confidential, including non-public features, pricing, beta or pre-release functionality, and technical or business information ("Bayris Confidential Information"). You agree to maintain Bayris Confidential Information in confidence, not to disclose or otherwise make it available to any third party without Bayris's prior written consent, and not to use it except as necessary to use the Services in accordance with this Agreement.
The Services utilize third-party language models to generate project plans, and a proprietary constraint solver and Monte Carlo scheduler to produce schedules, estimates, and probability distributions. The specific language model providers and models used may change at Bayris's discretion. Both AI-generated plans and solver/scheduler outputs are provided "as-is" and are computational in nature. They do not constitute professional, financial, engineering, or legal advice. You understand and agree that: (i) AI outputs may contain errors, omissions, or inaccuracies; (ii) solver and scheduler outputs are mathematical approximations based on the constraints and parameters you provide and are subject to the limitations inherent in computational modeling; (iii) probability distributions and Monte Carlo estimates represent statistical projections, not guarantees of future outcomes; and (iv) you bear sole responsibility for independently verifying all outputs before relying on them for any decision of consequence.
The Services may interoperate with, link to, or rely on third-party products and services, including payment processing (Paddle.com Market Ltd.), third-party language-model providers, hosting and infrastructure providers, and email delivery services. Bayris does not control and is not responsible for third-party products or services, their availability, content, or their terms and privacy practices, and your use of them may be subject to separate agreements between you and the relevant third party. To the maximum extent permitted by law, Bayris disclaims all liability arising from or relating to third-party products or services.
BAYRIS MAKES NO WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, ORAL OR WRITTEN, WITH RESPECT TO THE SERVICES FURNISHED IN CONNECTION WITH THIS AGREEMENT. THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND. BAYRIS HEREBY DISCLAIMS ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, REPRESENTATIONS, OR CONDITIONS, WHETHER WRITTEN OR ORAL, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY; OF SATISFACTORY OR MERCHANTABLE QUALITY; ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE; TITLE; NONINFRINGEMENT; SECURITY; RELIABILITY; COMPLETENESS; QUIET ENJOYMENT; ACCURACY; INTEGRATION; OR FITNESS FOR A PARTICULAR PURPOSE. BAYRIS DOES NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR FREE, AND DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND BAYRIS DISCLAIMS ANY LIABILITY RELATING THERETO.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS BAYRIS, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATED TO: (i) YOUR USE OR MISUSE OF THE SERVICES; (ii) YOUR USER CONTENT; (iii) YOUR BREACH OF THIS AGREEMENT OR ANY REPRESENTATION OR WARRANTY MADE BY YOU HEREIN; (iv) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION OR OF THE RIGHTS OF ANY THIRD PARTY; OR (v) ANY DISPUTE BETWEEN YOU AND ANY THIRD PARTY, INCLUDING ANY RECIPIENT OF A SCHEDULE YOU SHARE. Bayris reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Bayris's defense of such claim. You will not settle any such matter without Bayris's prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BAYRIS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS OR REVENUE, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
BAYRIS'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL NOT EXCEED IN THE AGGREGATE THE SUM OF THE FEES YOU HAVE PAID TO BAYRIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (IF ANY). THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THIS AGREEMENT WILL NOT INCREASE THIS MAXIMUM LIABILITY AMOUNT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
In addition to any other suspension or termination rights under this Agreement, Bayris may suspend, terminate, or modify your access to the Services, without notice and at Bayris's sole discretion, in order to: (i) ensure quality functioning of the Bayris infrastructure; (ii) comply with a law, regulation, court order, or governmental request; (iii) protect Bayris from potential legal liability or harm to its reputation or business; or (iv) address violations of the user responsibilities described in Section 7 or any other provision of this Agreement.
Bayris will not be responsible for any loss or damage resulting from any suspension or termination of access to the Services. In the event of a suspension, Bayris will use commercially reasonable efforts to restore your access as soon as the event giving rise to the suspension has been resolved. Bayris will also use commercially reasonable efforts to notify you of the reasons for such action as soon as reasonably practicable. Upon termination, your right to use the Services ceases immediately. Data stored in your browser remains on your device, and it is your responsibility to retrieve and back up any content before termination.
Except to the extent applicable law provides otherwise, this Agreement shall be governed by the laws of the State of California, United States of America, excluding its conflict-of-law provisions. Unless otherwise agreed in writing, all disputes relating to this Agreement (excepting any dispute relating to intellectual property rights) shall first be submitted to informal resolution between you and Bayris. If informal resolution is unsuccessful, disputes shall be submitted to final and binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association then in effect, with the losing party bearing all costs of arbitration. Nothing in this section shall prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
ALL DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU AND BAYRIS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BAYRIS EACH WAIVE ANY RIGHT TO A TRIAL BY JURY. If the class-action waiver in this Section is found to be unenforceable as to a particular claim or request for relief, that claim or request shall be severed and may be brought in a court of competent jurisdiction, while all other claims remain subject to arbitration. Notwithstanding the foregoing, nothing in this Section limits any non-waivable right you may have under applicable law, including the right to bring an individual claim in a small-claims court of competent jurisdiction.
Bayris respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that content available through the Services infringes a copyright you own or control, you may submit a written notice to Bayris's designated agent at connect@bayris.com that includes: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing, together with information reasonably sufficient to permit Bayris to locate it; (iv) your name, address, telephone number, and email address; (v) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf. Bayris may remove or disable access to material alleged to be infringing and may, in appropriate circumstances, terminate the accounts of repeat infringers.
Bayris may provide notices to you with respect to the Services by sending an email to the address associated with your account, by posting a notice on the Site, or by other reasonable means. Notices shall become effective when sent or posted. It is your responsibility to keep the contact information associated with your account current. You may provide notices to Bayris by email to connect@bayris.com.
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral. If any provision of this Agreement is held illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable without losing its intent, or severed from this Agreement if no such modification is possible, and the remaining provisions shall remain in full force and effect.
A waiver by either party of any term or condition of this Agreement, or any breach thereof, in any one instance, shall not waive such term or condition or any subsequent breach. The provisions of this Agreement that require or contemplate performance after its expiration or termination shall be enforceable notwithstanding such expiration or termination. You may not assign this Agreement or any rights or obligations hereunder without Bayris's prior written consent. In the event of a change of control of Bayris, whether by merger, sale of assets, or otherwise, this Agreement and its associated rights shall be deemed transferred to the successor entity.
Neither party shall be in default or liable for any delay or failure in performance resulting directly or indirectly from any cause beyond its reasonable control, excepting the obligation to pay fees when due. The headings in this Agreement are used for convenience only and shall have no substantive meaning. The controlling language of this Agreement is English.
